Terms and Conditions

Constant Cash is an Aviation Contractor Referral Program that allows qualifying individuals to participate and receive monthly commissions as a 1099 Independent Contractor. APA Services has made a significant investment in technology and in a partnership with Constant Cash to administer this exclusive referral program within the Aviation Industry. This platform is designed to make submitting referrals easier, increase the Individuals earning potential and allow participating Affiliates to track commissions by Affiliate Referrals.

Any individual with talented contacts within the Aviation Industry are encouraged to register and participate in the Constant Cash Referral Program (You do not have to currently be an APA Contractor).

Who can participate in the Constant Cash Referral Program?

• A registered Affiliate must be at least 18 years of age.
• An Individual can only be registered ONCE in the Constant Cash Referral Program (if the affiliate already exist, the system will notify the referring Affiliate as such)
• All referrals provided must be registered through the Constant Cash web platform at: http://apaconstantcash.com

Affiliate Commission Payments:

• All Affiliate commission payments are paid via direct deposit on a monthly basis
• All Affiliates will be paid commissions as a 1099 Independent Contractor
• Be aware that as a 1099 Independent Contractor, you are solely responsible for paying your local, state and federal income taxes on referral compensation you receive through the Constant Cash Referral Program.
• Monthly payments will be processed by the 15th of the current month with regards to the prior month’s billable straight time hours worked by Individuals within your Affiliate Tree while on assignment with APA Services.

Once you are registered in the Constant Cash Referral Program, you are considered an Active Affiliate. You will remain an Active Affiliate as long as one of the following criteria is maintained:

• You are actively on assignment as an APA Contractor
• You are currently earning a commission based on one of your Referral Affiliates recording billable regular hours which on assignment for APA
• You have a downline Referral Affiliate that has registered within the last 90 days

Classification of Affiliates in Constant Cash:

• Affiliate (On-Assignment) – defined as Referral Affiliate that is participating in the program and is an active APA contractor on assignment.
• Affiliate (50% payout) – defined as registered Referral Affiliates that are earning a down line referral commission, but has not been on assignment within the last 28 days
• Affiliate (90-day window) – This is the category that an Affiliate will appear in if none of the 3 criteria (listed above) to maintain an “active” status are currently being met. An Affiliate, not meeting the “active” status criteria will remain in this (90 day Window) classification for 90 days before being disabled as an active Affiliate.
• Non-Participating – defined as an Affiliate that is working for APA on assignment but is choosing to not actively participate in referring contractors through the Constant Cash Referral Program
• Inactive – defined as an Affiliate that does not meet the minimum criteria for remaining active and was deactivated after 90-days of inactivity. Once an Affiliate is disabled, if that Contractor decides to re-enter the Constant Cash Referral Program, they can re-register on their own or re-enter the program under an existing registered Affiliate.
• Sponsoring Affiliate – defined as an Affiliates direct up line Affiliate (the one that you are registering under). The Sponsoring Affiliate agrees to have his/her name and contact information provided in registration communication that is distributed to Affiliate Referrals.

Commission Levels and Rates:

• Level 1 – $0.35/billable hour up to 40 hours a week *
• Level 2 – $0.15/billable hour up to 40 hours a week *
• Level 3 – $0.10/billable hour up to 40 hours a week *
• Level 4 – $0.05/billable hour up to 40 hours a week *
  * rates listed about are at the payout level for an Affiliate that is on assignment with APA at the time of payout. Affiliates that are not on assignment with APA at the time of payout will receive a payout of 50% of the above stated hourly rates
• There is no limit to the number of sub-affiliates an Affiliate Referral can have on each of the four levels.

Even though a referral can be made at any time, the Sponsoring Affiliate will not receive any commissions until the payout period following the said referral generating billable straight time hours while actively on assignment with APA Services.

Any Affiliate Referral will have the opportunity to notify APA Services at any time that (i) he/she is not looking for work via APA Services and/or (ii) has not given authorization to Sponsor Affiliate in connection with the referral. If the referred individual notified Constant Cash that he/she has not given authorization to Sponsoring Affiliate or chooses not to be registered under the Sponsoring Affiliate, the Sponsoring Affiliate and any up line Affiliate will not be eligible for referral commissions from said Affiliate Referral.

Affiliates participating in this program as an Independent Contractor who fail to comply with the Terms and Conditions of this program may be disqualified from the APA Services Constant Cash Referral Program. An Affiliate cannot participate in the APA Services Constant Cash Referral Program after being disqualified, unless APA Services specifically revokes such disqualification in its sole discretion. Furthermore, an Affiliate may also be disqualified for reasons including, but not limited to:

• Submitting false leads
• Intentionally Providing incorrect information
• Misrepresenting Affiliate’s relationship with referred individual
• Performing any fraudulent activities
• Communicating information or opinions that are detrimental to APA Services and/or Constant Cash

All disqualifications are determined in the sole discretion of the APA Services Constant Cash Advocate Team.

APA Services reserves the right to cancel or make changes to the Constant Cash Referral Program at any time. Any changes to the program will be effective immediately.

In no event shall you make any representation, guarantee or warranty concerning APA Services or the Constant Cash Referral Program, or any of the Terms or Conditions on any APA Services or Constant Cash agreement, except as expressly authorized in writing by APA Services. You shall indemnify, defend and hold harmless APA Services and its Affiliates and each of our directors, officers, employees, agents and representatives (collectively, the “APA Services Parties”) against any claims, causes of action, proceedings, suits, liabilities, loss, costs, or damages (including without limitation reasonable attorney’s fees) arising out of or related to your breach of the foregoing statement.

You will defend, indemnify, and hold harmless the APA Services Parties from and against any claim, cause of action, demand, suit, proceeding, damages, liabilities, loss, or costs, including without limitation reasonable attorney fees made or brought against the APA Services or Constant Cash Parties arising out of (a) your participation in the APA Services Referral Program, (b) any breaches of your representation, warranties, or obligations hereunder or (c) the gross negligence or willful misconduct of you or your referrals.

Limitation of Liability. APA SERVICES WILL NOT BE LIABLE OR OBLIGATED WITH RESPECT TO ANY SUBJECT MATTER OF THESE RULES OR OTHERWISE RELATED TO THE APA SERVICES – CONSTANT CASH REFFERAL PROGRAM OR UNDER ANY CONTRACT, TORT, STRICT LIABILITY, OR OTHER LEGAL OR EQUITABLE THEORY, WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES WHATSOEVER, FOR ANY SPECIAL, INDIRECT, INCIDENTAL, EXEMPLARY, PUNITIVE, RELIANCE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR USE, AND APA SERVICES’ LIABILITY SHALL NOT EXCEED THE COMMISSIONS PAYABLE BY APA SERVICES TO REFERRER FOR AN APPLICABLE REFERRAL.

By accepting these terms, you also accept to receive transactional and marketing related phone/email communications from APA Services in relation to your Affiliate Referral, as well as any current or relevant promotions. All communications regarding the amount of Affiliate Referral commissions and the schedule of payments shall come from the APA Services – Constant Cash Advocate Team only.
